In order to secure payment of all amounts which may, at any time hereinafter, become due and owing to Cleaver’s Farm Supply, Inc., d/b/a Cleaver Farm & Home in connection with open-account sales to the above-named Customer, the Customer grants Cleaver’s Farm Supply, Inc. a purchase money security interest in and lien on all equipment and other merchandise sold to the Customer, together with all parts, accessories, repairs, improvements and accessions thereto, and all proceeds, products and issue therefrom now or hereafter made or acquired (collectively, the “collateral”). The Customer agrees to execute, at the request of Cleaver’s Farm Supply, Inc., any UCC financing statements or other documents necessary to perfect such lien. The Customer agrees to pay interest at the rate of 18% per annum on all accounts not paid when due, and to pay all reasonable costs, expenses, and attorney fees incurred by Cleaver’s Farm Supply, Inc. in connection with the collection of any amounts owed. All charges are due and payable in full by the 10th day of the month following the date of purchase unless otherwise specified in writing. All credit card payments made on an outstanding open-account balance will be assessed a 3% surcharge; the surcharge does not apply to purchases paid by credit card at the time of the transaction. Cleaver’s Farm Supply, Inc. reserves the right, at its sole discretion, to establish or adjust credit limits, place the account on hold, suspend charging privileges, or close the account at any time if payment history, creditworthiness, or account usage warrants such action. The Customer agrees to promptly notify Cleaver’s Farm Supply, Inc. of any change in mailing address, contact information, or ownership, and acknowledges that statements will be considered accurate unless disputed in writing within 30 days of the statement date. Any returned or NSF checks will be subject to applicable return fees and may result in immediate suspension of credit privileges. Submission of a credit application does not guarantee approval; all applications are subject to review of credit history, reference verification, and may require a signed Personal Guarantee. The undersigned hereby personally guarantees payment of all amounts due to Cleaver’s Farm Supply, Inc. on this account, including interest, fees, and costs of collection, and agrees that this is a continuing guarantee which shall remain in effect until revoked in writing and accepted by Cleaver’s Farm Supply, Inc. In the event of default, Cleaver’s Farm Supply, Inc. may declare the entire outstanding balance immediately due and payable. The Customer authorizes Cleaver’s Farm Supply, Inc. to obtain credit reports and to contact any bank, creditor, or reference listed in this application for verification purposes, and further authorizes any such bank, creditor, financial institution, or reference to release information requested by Cleaver’s Farm Supply, Inc. for purposes of establishing, reviewing, or collecting this account, agreeing that such entities may rely upon a photocopy or electronic copy of this authorization.
